you ("Customer", "you", or "your") agree to be bound by these Terms.

If you are using Tellerdesk on behalf of a company or other organisation, you confirm that you have authority to accept these Terms on behalf of that organisation.

If you do not agree to these Terms, you must not use the Services.

4. Customer workspaces and users

Tellerdesk may allow a Customer to create or operate one or more business workspaces, depending on the applicable plan.

The Customer is responsible for:

  • deciding which users may access its Workspace;
  • assigning appropriate roles and permissions;
  • removing access when staff or contractors no longer require it;
  • ensuring that users comply with these Terms;
  • ensuring that users only access information they are authorised to view.

Tellerdesk provides role-based access and workspace separation as part of the platform's security model.

The Customer remains responsible for the actions of its Authorised Users.

5. Connected communication channels

Tellerdesk allows Customers to connect supported third-party communication platforms. These may include:

  • WhatsApp Business;
  • Facebook Messenger;
  • Instagram;
  • Meta Lead Ads;
  • email providers;
  • website chat;
  • SMS services;
  • telephone and calling services;
  • other integrations supported by Tellerdesk.

The Customer acknowledges that use of these channels may be subject to separate terms, policies, usage limits, permissions, message windows, pricing, and restrictions imposed by the relevant provider.

For example, messaging functionality may be affected by:

  • WhatsApp Business policies;
  • Meta messaging windows;
  • template approval requirements;
  • platform rate limits;
  • account verification requirements;
  • messaging permissions;
  • telecommunications regulations.

The Customer agrees to comply with all applicable third-party platform terms when using Connected Channels.

6. Third-party services

Tellerdesk depends in part on third-party services to provide certain functionality.

We do not control third-party providers and cannot guarantee that their services will always remain available or unchanged.

Third-party providers may:

  • change their APIs;
  • change their pricing;
  • change platform policies;
  • introduce restrictions;
  • remove functionality;
  • suspend accounts;
  • change approval requirements;
  • experience outages.

Where such changes affect Tellerdesk, we may modify or temporarily suspend related functionality.

Tellerdesk is not responsible for losses caused solely by the actions, policies, outages, suspensions, or service failures of independent third-party providers, except where required by applicable law.

7. WhatsApp and Meta services

Where WhatsApp, Messenger, Instagram, Facebook, or Meta Lead Ads are connected, the Customer agrees to comply with all applicable Meta terms and policies.

The Customer is responsible for:

  • obtaining any required customer consent;
  • sending lawful marketing messages;
  • using approved templates where required;
  • respecting opt-out requests;
  • complying with messaging windows;
  • maintaining compliant advertising practices;
  • ensuring lawful collection and follow-up of leads.

Tellerdesk does not guarantee approval of:

  • WhatsApp templates;
  • WhatsApp Business Accounts;
  • Meta permissions;
  • Meta applications;
  • advertisements;
  • lead forms;
  • phone numbers;
  • individual messages.

Such approvals and enforcement decisions are controlled by Meta or other relevant third parties.

8. SMS and voice services

Where SMS, telephone, calling, number purchasing, or related telecommunications services are enabled, usage may incur additional third-party charges.

The Customer is responsible for ensuring that:

  • calls and messages are lawful;
  • required customer consent has been obtained;
  • marketing and promotional messaging complies with applicable law;
  • call recording is used only where legally permitted;
  • required call-recording notices or consent are provided;
  • destination-country restrictions are respected.

Tellerdesk may restrict SMS or voice services for security, regulatory, provider, or fraud-prevention reasons.

9. Email services

Where a Customer connects an email account to Tellerdesk, the Customer authorises Tellerdesk to access, process, display, send, and synchronise email information as necessary to provide the requested functionality.

The Customer is responsible for:

  • maintaining valid email account credentials;
  • complying with anti-spam laws;
  • sending lawful communications;
  • maintaining appropriate mailbox permissions;
  • ensuring that connected mailboxes are authorised for business use.

10. Website chat and AI features

Tellerdesk may provide AI-assisted website chat and other AI functionality. Depending on configuration, AI Features may:

  • answer questions using Customer-provided knowledge;
  • suggest replies;
  • assist agents;
  • translate messages;
  • support conversation handling;
  • escalate interactions to a human agent.

Tellerdesk website AI can use business-provided knowledge sources and hand over to a human agent where appropriate.

The Customer acknowledges that AI outputs may occasionally be:

  • incomplete;
  • inaccurate;
  • outdated;
  • inappropriate;
  • based on incomplete context.

AI Features are provided as assistance tools and are not a substitute for professional judgment.

The Customer is responsible for reviewing and monitoring how AI functionality is used within its business.

11. AI knowledge sources

Where the Customer uploads or connects information for AI functionality, including:

  • text;
  • FAQs;
  • PDFs;
  • Word documents;
  • web pages;
  • policies;
  • product information;
  • service information,

the Customer confirms that it has the right to use and process that material.

The Customer must not knowingly upload:

  • unlawfully obtained information;
  • confidential third-party information without authority;
  • copyrighted material it has no right to use;
  • illegal content;
  • malicious files;
  • sensitive personal information unless appropriate safeguards and lawful grounds exist.

12. Meta leads and customer information

Where the Customer connects Meta Lead Ads or other lead-generation sources, Tellerdesk may receive information submitted by prospective customers.

The Customer is responsible for:

  • providing appropriate privacy notices;
  • collecting leads lawfully;
  • obtaining required marketing consent;
  • maintaining lawful follow-up processes;
  • respecting unsubscribe or opt-out requests;
  • processing customer information in accordance with applicable privacy law.

Tellerdesk acts as a technology platform and does not determine the Customer's legal basis for marketing to an individual.

13. Customer responsibilities

The Customer is responsible for:

  • its own business operations;
  • all communications sent through Tellerdesk;
  • all customer information processed through Tellerdesk;
  • ensuring lawful use of the Services;
  • ensuring appropriate consent where required;
  • monitoring its Authorised Users;
  • ensuring that its privacy notices are accurate;
  • complying with applicable consumer, privacy, telecommunications, advertising, and marketing laws;
  • maintaining appropriate customer records;
  • reviewing its own automation rules;
  • reviewing its AI configuration;
  • maintaining a sufficient wallet or usage balance where required.

14. Acceptable use

You must not use Tellerdesk to:

  • violate any applicable law;
  • commit fraud;
  • send unlawful spam;
  • send unsolicited messages in breach of applicable law or platform policy;
  • harass, threaten, or abuse another person;
  • distribute malware;
  • impersonate another person or business unlawfully;
  • infringe intellectual property rights;
  • attempt unauthorised access to Tellerdesk or another user's data;
  • disrupt, attack, overload, probe, or reverse engineer the platform;
  • circumvent usage restrictions;
  • misuse connected platforms;
  • transmit illegal or harmful content;
  • conduct unlawful surveillance;
  • process stolen or unlawfully obtained data;
  • use Tellerdesk in a way that places our platform or third-party integrations at risk.

We may suspend or restrict access where we reasonably believe use of the Services creates a security, legal, regulatory, fraud, or platform-compliance risk.

15. Messaging compliance

The Customer is responsible for ensuring that outbound customer communications comply with:

  • applicable anti-spam laws;
  • telecommunications laws;
  • direct marketing laws;
  • consumer protection rules;
  • applicable messaging-platform policies;
  • consent and opt-out requirements.

Tellerdesk provides communication tools but does not determine whether a particular message is legally permitted.

16. Automation

Tellerdesk may allow the Customer to configure automated actions. These may include:

  • assigning conversations;
  • applying tags;
  • changing statuses;
  • sending messages;
  • routing enquiries;
  • triggering notifications;
  • initiating workflows;
  • performing actions through connected services.

The Customer is responsible for reviewing automation before use. The Customer acknowledges that incorrectly configured automation may result in:

  • unintended messages;
  • incorrect assignments;
  • customer confusion;
  • duplicate actions;
  • inappropriate status changes.

We recommend testing automation before activating it for live customer communication.

17. Fees and subscription plans

Tellerdesk is offered on a subscription basis. Current plan options may include plans such as:

  • 5-user plans;
  • 10-user plans;
  • Enterprise or customised plans.

Pricing, features, limits, and included services are determined by the applicable order, quotation, pricing page, or subscription agreement.

Subscription fees may be charged monthly or according to another agreed billing period.

Unless otherwise stated, subscription charges do not necessarily include usage-based third-party costs.

18. Usage-based charges

Certain Services may incur additional charges separate from the Tellerdesk subscription. Examples may include:

  • SMS;
  • telephone calls;
  • phone numbers;
  • WhatsApp or Meta usage charges;
  • external provider fees;
  • AI usage;
  • other third-party communication services.

The Customer is responsible for applicable usage charges.

Where Tellerdesk provides a cost calculator, estimated rates are for informational purposes and may change when third-party providers change their pricing.

Final third-party charges are determined by the relevant provider and the Customer's actual usage.

19. Prepaid wallet

Where a prepaid wallet or credit system is provided, the Customer may be required to maintain a sufficient balance to use certain usage-based features.

Wallet credits may be used for eligible services such as:

  • SMS;
  • calling;
  • number purchases;
  • other applicable usage-based services.

If the available balance is insufficient, the relevant functionality may be restricted until the balance is replenished.

Wallet balances do not constitute a bank account, deposit, investment, or financial product.

Refundability of unused wallet balances is subject to the applicable order, commercial agreement, and law.

20. Payment

The Customer agrees to pay all applicable subscription fees, usage fees, taxes, and other amounts associated with its Account.

Payments may be processed through approved third-party payment providers.

Tellerdesk does not normally store full card details where payments are processed directly by an external payment provider.

If payment becomes overdue, we may:

  • notify the Customer;
  • restrict certain functionality;
  • suspend Services;
  • terminate the Account where appropriate.

21. Cancellation

The Customer may cancel its subscription subject to the applicable subscription or order terms.

Unless otherwise stated in a commercial agreement:

  • cancellation will normally prevent future renewal;
  • access may continue until the end of the paid billing period;
  • cancellation does not remove fees already due.

Any refund is subject to the applicable subscription, order, or commercial agreement and applicable law.

22. Changes to pricing and plans

We may modify:

  • subscription pricing;
  • plan limits;
  • included features;
  • usage fees;
  • third-party pass-through charges.

Where practicable, we will provide reasonable notice of material changes that directly affect an active paid subscription.

Third-party communication charges may change without advance notice where those charges are changed by the relevant provider.

23. Intellectual property

Tellerdesk, Mindscope FZC, and/or their licensors retain all rights, title, and interest in:

  • the Tellerdesk platform;
  • software;
  • source code;
  • interfaces;
  • designs;
  • branding;
  • documentation;
  • trademarks;
  • platform functionality;
  • underlying technology.

These Terms do not transfer ownership of Tellerdesk intellectual property to the Customer.

The Customer may use Tellerdesk only during a valid subscription period and subject to these Terms.

24. Customer data ownership

The Customer retains its rights in Customer Data submitted to or processed through Tellerdesk.

The Customer grants Tellerdesk a limited right to host, process, transmit, copy, and otherwise use Customer Data only as necessary to:

  • provide the Services;
  • maintain the platform;
  • support the Customer;
  • prevent abuse;
  • meet legal obligations;

  • commercial terms;
  • pricing;
  • product information;
  • unpublished features;

  • with consent;
  • where required by law.

26. Data protection and privacy

Our Privacy Policy explains how personal information is processed through Tellerdesk.

Where the Customer uses Tellerdesk to communicate with its own customers, the Customer is generally responsible for determining the purpose and lawful basis for processing that customer information.

Tellerdesk generally acts as a service provider or data processor where personal data is processed on behalf of the Customer.

  • regulatory requirements;
  • conduct that threatens Tellerdesk or other customers.

Where appropriate, we will attempt to provide notice and an opportunity to resolve the issue.

Immediate suspension may occur where necessary to protect security, legal compliance, or third parties.

32. Termination

Either party may terminate the Services in accordance with the applicable subscription or commercial agreement.

We may terminate access where:

  • the Customer materially breaches these Terms;
  • fees remain unpaid;
  • the platform is used unlawfully;
  • continued service creates a serious compliance or security risk;
  • termination is required by law.

Upon termination:

  • access to the Services may cease;
  • unpaid fees remain payable;
  • relevant Customer Data may be retained or deleted according to our Privacy Policy, contractual obligations, and applicable law.

33. Data export and account closure

The availability and format of data export may depend on:

  • plan;
  • data type;
  • technical capabilities;
  • applicable contractual arrangements.

We are not responsible for a Customer's failure to export required records before account closure.

Revised Terms will state their updated effective date.

39. Governing law and disputes

These Terms will be governed by the laws of the United Arab Emirates.

Any dispute will be handled according to the jurisdiction and dispute-resolution procedure stated in the Customer's commercial agreement or, where no separate agreement exists, by the courts of the United Arab Emirates, unless applicable law requires otherwise.

42. No waiver

Failure by either party to enforce a right under these Terms does not mean that the right has been waived.
